1. Acceptance of Terms

Welcome to POM Home. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and POM Home, Inc. (“POM Home,” “we,” “us,” or “our”) governing your access to and use of the POM Home website, mobile applications, and all related services (collectively, the “Services”). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.

2. Eligibility

You must be at least 18 years of age and possess the legal authority to enter into these Terms to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

POM Home provides a technology platform that connects prospective home buyers and sellers with licensed real estate professionals. Our Services include, but are not limited to:

• Property listing search and discovery tools
• Property information and media display
• Connection services between users and real estate agents
• Scheduling tools for property showings
• Communication facilitation between parties
• Market analysis and property valuation tools

POM Home is not a real estate brokerage and does not provide real estate brokerage services. All real estate services are provided by independently licensed real estate professionals and brokerages. POM Home does not guarantee the accuracy of property information, valuations, or any other content displayed through the Services.

4. User Accounts

4.1 Account Registration

Certain features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4.3 Account Termination

You may terminate your account at any time by contacting us. We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

5. User Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any applicable federal, state, local, or international law or regulation
• Infringing upon the intellectual property rights of POM Home or any third party
• Transmitting any material that is defamatory, obscene, fraudulent, or otherwise objectionable
• Attempting to interfere with, compromise, or disrupt the Services or servers
• Using automated systems, bots, or scripts to access the Services without authorization
• Collecting or harvesting user data without consent
• Impersonating any person or entity or misrepresenting your affiliation
• Circumventing any access controls or usage limits of the Services
• Using the Services for any purpose that is unlawful or prohibited by these Terms

6. Intellectual Property Rights

6.1 POM Home Content

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are the exclusive property of POM Home, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, POM Home grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to: (a) modify, copy, or create derivative works; (b) use any data mining, robots, or similar data gathering methods; (c) download any content except as expressly permitted; or (d) use the Services for any commercial purpose without our prior written consent.

6.3 User Content

By submitting, posting, or displaying content through the Services, you grant POM Home a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and promoting the Services. You represent and warrant that you own or have the necessary rights to grant this license.

7. Property Information Disclaimer

Property information displayed through our Services is provided by third parties, including real estate professionals, property owners, and multiple listing services. While we strive to provide accurate information, POM Home does not guarantee the accuracy, completeness, or timeliness of any property information. You acknowledge that:

• Property details, including prices, descriptions, and availability, may change without notice
• Square footage, lot sizes, and other measurements may be approximate
• Photos and virtual tours may not reflect current property conditions
• Tax information and HOA details should be independently verified
• School district information is provided for reference only and should be verified with local authorities

You should independently verify all property information before making any real estate decisions.

8. Third-Party Services and Links

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by POM Home. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that POM Home shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POM HOME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POM HOME DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POM HOME, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO POM HOME, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless POM Home, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your content caused damage to a third party.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

12.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Tallahassee, Florida, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

YOU AND POM HOME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and POM Home regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14.3 Waiver

The failure of POM Home to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
